  • Manage contract obligations and risks

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use the Service.

3.2 Authority

By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration

To use the Service, you must:

  • Create an account with a valid email address
  • Provide accurate and complete information
  • Maintain the security of your password
  • Promptly update any changes to your account information

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access.

5.2 Prohibited Uses

You may NOT:

Illegal Activities:
  • Violate any laws or regulations

Harmful Activities:
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt the Service
Abuse of Service:
  • Exceed rate limits or attempt DoS attacks
  • Create multiple accounts to circumvent limits
  • Resell or redistribute the Service without authorization

6. Your Content

You retain all ownership rights to the contracts and data you upload ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service.

6.2 Your Responsibilities

You represent and warrant that:

  • You own or have the right to upload Your Content
  • Your Content does not violate any laws or third-party rights
  • Your Content does not contain viruses or malicious code

7. Automated Processing and Accuracy

Important Disclaimers

8.2 Payment Processing

All payments are processed securely through Stripe, our payment processor. Stripe handles payment processing, tax collection, and subscription management.

Payment Methods: We accept all major credit cards, Apple Pay, and Google Pay through Stripe. We never store your credit card information.

8.3 Billing & Renewals

  • Monthly subscriptions: Automatically renew every month
  • Annual subscriptions: Automatically renew every year
  • Renewal notice: You'll receive an email 7 days before renewal
  • Failed payments: Your subscription will be marked as past due. You have 7 days to update payment before cancellation.

8.4 Taxes

Stripe automatically calculates and collects applicable taxes (VAT, GST, sales tax) based on your location. All prices shown exclude taxes unless otherwise stated.

We offer a 30-day money-back guarantee on all Pro subscriptions. See our Refund Policy for complete details.

8.6 Price Changes

We may change subscription prices at any time. Your price is locked in as long as you remain a subscriber. You'll be notified 30 days before any price change affects you.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

  • Going to Settings → Delete Account
  • Emailing support@renewly.gg

Upon termination, your data will be deleted after a 30-day grace period. You may export your data before deletion.

9.2 Termination by Us

We may terminate your account immediately for:

  • Violation of these Terms
  • Illegal activity
  • Abuse of the Service
  • Extended inactivity (2+ years)

10. Renewal Notifications & Liability

⚠️ CRITICAL DISCLAIMER: No Liability for Missed Renewals

RENEWLY IS A NOTIFICATION TOOL ONLY. We are NOT responsible for any consequences if you miss a contract renewal deadline, including but not limited to:

  • Financial losses from automatic contract renewals
  • Service interruptions or terminations
  • Lost business opportunities
  • Breach of contract claims from third parties
  • Penalties, fees, or damages of any kind

You Acknowledge and Accept:

  • ✓ Email notifications may be delayed, blocked by spam filters, or not delivered
  • ✓ Technical issues may prevent notifications from being sent
  • ✓ Automatic extraction may incorrectly identify renewal dates
  • ✓ You are solely responsible for tracking your own contract obligations
  • ✓ Renewly is a supplementary tool, not a substitute for professional contract management

BY USING THIS SERVICE, YOU WAIVE ANY RIGHT TO HOLD RENEWLY LIABLE FOR MISSED RENEWALS, WHETHER DUE TO TECHNICAL FAILURES, HUMAN ERROR, OR ANY OTHER REASON.

10.2 Notification Best Efforts

We will make commercially reasonable efforts to send renewal notifications at 7, 30, 60, and 90 days before renewal dates. However, we do NOT guarantee:

  • Timely delivery of notifications
  • Receipt of notifications by you
  • Accuracy of extracted renewal dates
  • Availability of the notification system

YOU REMAIN SOLELY RESPONSIBLE for managing your contracts, tracking deadlines, and taking appropriate action. Consult with legal and business advisors for important contracts.

11. General Disclaimers

"AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that the Service will be uninterrupted, error-free, or that automated analysis will be accurate. Use at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption.

Our total liability for any claims shall not exceed $100 (for free service) or the amount you paid in the 12 months before the claim.

13. Privacy

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date.

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
